Buying a business takes two clocks: the search, which is long and varies most, and the deal, which is shorter and more predictable. Traditional search funds in the 2026 Stanford study typically took about 20 months to acquire a company, and once a letter of intent is signed, an SBA-financed deal typically takes 60 to 120 days to close. As of October 2026, IBBA data shows Main Street deals take 6 to 10 months from a seller hiring a broker to closing, and lower middle market deals 11 to 12 months. The biggest time saver is having your capital, lender and advisers lined up before you start looking.
In IBBA's Q2 2026 Market Pulse survey, Main Street deals took 6 to 10 months from engagement to close. Lower middle market deals took 11 to 12 months. That clock starts when the seller hires a broker. It includes preparing the business for sale, marketing it and finding a buyer.
Two lessons follow. A listing you find may already have been on the market for months, so the seller may be more flexible than the asking price suggests. And once a good business is listed, other buyers see it the same day. Buyers who can move quickly win more often.
On the search side:
On the deal side:
Searchers with investors: the 2026 Stanford study reports an aggregate acquisition rate of 58% across more than 850 search funds since 1996. About half of funds launched from 2021 to 2024 had acquired a company. Plan for a long search, and decide in advance when you would stop. See when to give up on a search.
Owners buying a second business: the SBA Business Expansion category applies when an existing business buys another. Lenders typically look for two full fiscal years under current ownership. That sets a practical clock for deal two from the day you close deal one.
Note the trap in this example: exclusivity of 90 days is shorter than a 120-day close. Negotiate an extension right before you need it, or ask for a longer period up front.
Where these numbers come from: Search duration and acquisition rates are from the Stanford 2026 Search Fund Study. Engagement-to-close times are from the IBBA Market Pulse Q2 2026 highlights. Letter-of-intent-to-close, diligence and exclusivity ranges are from BizBuySell and BigIdeasDB. SBA rules are from SOP 50 10 8.1, summarized by Beancount's SOP 50 10 8.1 guide and Cantrell Firm. SOP 50 10 8.1 applies to loans that receive an SBA loan number on or after October 1, 2026 (SBA Information Notice 5000-880695).
Sometimes, because there is no SBA underwriting. But few sellers will finance most of the price. In IBBA's Q2 2026 data, sellers received 83% to 92% of deal value in cash at close, and seller financing was under 10% of deal value.
Typically 30 to 90 days. Match it to your lender's realistic closing time, and include a way to extend it.
Usually the financing and third-party steps: valuation, quality of earnings, landlord consent and lender conditions. See how long an SBA acquisition loan takes to close.
The part of the timeline you can plan most precisely is the loan: how long does an SBA acquisition loan take to close?
