Usually both. As of October 2026, an SBA 7(a) loan offers a longer term, up to 10 years on the business portion, at a variable rate capped at prime plus 3% (10% with prime at 7% in September 2026), while the median stated seller note is cheaper at 7% but shorter, 3 years for 30% of the price. On $300,000, the 3-year seller note costs about $111,200 a year against about $47,600 for the same amount inside the SBA loan, so a short note strains cash flow. A seller note on full standby can instead count toward up to half of the SBA's 10% equity injection.
Compare the same $300,000 borrowed two ways.
The seller note is cheaper in total. The SBA loan is easier on cash flow. In a first acquisition, cash flow is often the binding limit, because the lender tests coverage at 1.25x. Seller debt not on full standby must be included in that test at no more than a 10-year amortization.
Each source covers what the other cannot.
Limits apply. Total debt, including seller notes, is capped at the appraised value. Any gap between price and valuation comes from buyer cash.
Expect the seller to want more for carrying the whole price: a higher price, a higher rate, or a shorter term. Sellers received 83% to 92% of deal value in cash at closing in the IBBA's Q2 2026 data. Full seller financing is far from the norm.
A Business Expansion uses 1.15x coverage, and the lender may reduce or waive the injection. That leaves more room for a regular seller note beside the SBA loan. As acquisitions add up, the $5 million affiliate cap and growing personal guarantees push owners toward other currency: seller rollover equity, holding-company equity and, for a few companies, public stock. Usually on rate: the median stated seller note is 7%, against a 10% SBA maximum in September 2026. But a 3-year term makes the annual payment much higher. Compare annual payments, not rates.
Yes, if the note is not on full standby. As of October 2026 its payments are included in the lender's coverage test, and it does not count toward the 10% injection.
Yes. A longer term lowers the payment and helps coverage. See How do you ask a seller to finance part of the deal?
If the seller will carry part of the price, learn how the seller's side works: How does seller financing work when you buy a business? The buyers who end up with the most valuable companies decide what the business goes into before they buy it, because the next seller may take equity instead of a note.
